Commercial Terms and Conditions
Applies to the InMyPocket platform and all current and future modules/products
Version 1.0 | 28 October 2026 | Draft for legal review
1. Scope
These terms govern business use of InMyPocket and all modules, products, tools, reports, data services, APIs and AI features we provide from time to time, including ValueIMP and CareIMP. They apply with any Order Form, product schedule, statement of work or data-processing terms. If inconsistent, the product-specific document prevails.
2. Business use and access
The Services are for business and professional users. Subject to payment and compliance, we grant a limited, non-exclusive, non-transferable, non-sublicensable right to use them during the subscription term for internal business purposes. You must keep credentials secure and are responsible for authorised-user activity.
3. Fees, subscriptions and credits
Fees, billing, users and included features are stated in the Order Form or checkout and exclude VAT unless stated otherwise. Subscriptions run for the period purchased and renew only as stated at purchase. Cancellation does not shorten an existing minimum term. Credits/tokens have no cash value, are non-transferable and expire as stated for the relevant product.
4. Data and privacy
The Services may combine public, regulatory, licensed, customer-provided and third-party data. Accuracy, completeness and refresh frequency vary and are not guaranteed. You retain ownership of data you provide and grant us the rights reasonably needed to process it to provide, secure and support the Services. We may use anonymised or aggregated usage/derived data for analytics, benchmarking, security and product improvement. Each party will comply with applicable UK data-protection law.
5. AI and decision support
Some Services use AI, machine learning, automated research, rules engines or statistical models. Outputs may contain errors, omissions, estimates, inferences or outdated material. You must independently verify material facts and apply professional judgement. The Services do not constitute legal, financial, tax, investment, clinical, regulatory or other professional advice. Valuation or acquisition outputs are indicative unless expressly supplied under a separate professional engagement.
6. Intellectual property and data use
6.1 What we own
We and our licensors retain all right, title and interest in the Services and in everything they are built from, including: software, source code and documentation; databases, database structures, taxonomies and data mappings; algorithms, methodologies, valuation, scoring and calibration logic and workflows; prompts, agent instructions and model-routing and orchestration logic; reports, templates and user interface and user experience design; and mascots, characters, logos, branding and get-up. The rights covered include copyright, design rights, database rights, trade marks, goodwill and the right to sue for passing off, rights in confidential information and trade secrets.
6.2 What you must not do
Except where we have expressly licensed it in writing, or where the restriction is one the law does not allow us to impose, you must not: scrape or crawl the Services; extract their contents in bulk or copy them systematically; reverse engineer, decompile or disassemble them; republish, resell or sublicense them or their outputs; use a substantial part of them to build or improve a competing database, marketplace, benchmarking, acquisition-intelligence, valuation or AI product; or use them, or any of our protected proprietary materials, to train, fine-tune, distil or otherwise develop a machine-learning model.
6.3 Trade marks
InMyPocket™, ValueIMP™, CareIMP™ and NIM™ are trade marks of In My Pocket Ltd. They are used as unregistered trade marks: the trade-mark symbol marks a claim to an unregistered mark and does not mean that the mark is registered. These terms give you no right to use our marks, mascots, characters or get-up, and nothing in them is a claim that a mark is registered, that a design is registered, or that any part of the Services is patented or patent pending.
6.4 No implied licence
Nothing in these terms grants any right or licence except as expressly stated in them. No licence is granted by implication, by estoppel, by course of dealing or because material has been made accessible to you. Rights we have not expressly granted are reserved.
6.5 No waiver
A failure or delay in enforcing any part of this clause is not a waiver of it, and no single or partial exercise of a right prevents its further exercise. A waiver is effective only if we give it in writing, and then only for the instance and purpose stated.
7. APIs and integrations
API or integration access is available only where expressly included. We may apply rate limits, field restrictions, security controls and versioning. API access does not transfer ownership of data or permit redistribution unless expressly agreed.
8. Acceptable use
You must not use the Services unlawfully, fraudulently, to infringe third-party rights, bypass controls, introduce malicious code, obtain unauthorised access, or misrepresent InMyPocket outputs as regulator-issued, professionally certified or independently verified.
9. Confidentiality
Each party must protect the other's confidential information and use it only for the contract. Disclosure is permitted where reasonably necessary to personnel, advisers, funders, auditors and subcontractors subject to confidentiality obligations, or where required by law.
10. Availability and changes
We will use reasonable skill and care but do not guarantee uninterrupted availability unless a separate SLA applies. We may change or retire features for security, legal, technical, data-source or product reasons. Beta/preview features may change or be withdrawn without notice.
11. Liability
Nothing excludes liability that cannot legally be excluded, including death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, neither party is liable for indirect/consequential loss or loss of profit, revenue, business, goodwill or opportunity. Our aggregate liability in any 12-month period is limited to the fees paid or payable for the affected Services in that period.
12. Suspension and termination
We may suspend access for security, legal compliance, non-payment, serious misuse or material breach. Either party may terminate for a material breach not remedied within 30 days after notice, or immediately where the breach cannot be remedied, on insolvency, serious security abuse, unlawful activity or deliberate misuse of proprietary data.
13. General
We may update these terms on reasonable notice; materially adverse changes to active paid subscriptions will normally take effect at renewal unless required sooner by law, security or third-party licensing. Unenforceable provisions are severed without affecting the rest. The contract is governed by the laws of England and Wales and its courts have exclusive jurisdiction.
